Stat. § 17-16-1501","heading":"Authority to transact business required.","body":"(a) A foreign corporation may not transact business in this state until it obtains a certificate of authority from the secretary of state.\n(b) The following activities, among others, do not constitute transacting business within the meaning of subsection (a) of this section:\n(i) Maintaining, defending or settling any proceeding;\n(ii) Holding meetings of the board of directors or shareholders or carrying on other activities concerning internal corporate affairs;\n(iii) Maintaining bank accounts;\n(iv) Maintaining offices or agencies for the transfer, exchange and registration of the corporation's own securities or maintaining trustees or depositaries with respect to those securities;\n(v) Selling through independent contractors;\n(vi) Soliciting or obtaining orders, whether by mail or through employees or agents or otherwise, if the orders require acceptance outside this state before they become contracts;\n(vii) Creating or acquiring indebtedness, mortgages and security interests in real or personal property;\n(viii) Securing or collecting debts or enforcing mortgages and security interests in property securing the debts;\n(ix) Owning, without more, real or personal property;\n(x) Conducting an isolated transaction that is completed within thirty (30) days and that is not one in the course of repeated transactions of a like nature; or\n(xi) Transacting business in interstate commerce.\n(c) The list of activities in subsection (b) of this section is not exhaustive.\n(d) A foreign corporation, foreign limited partnership or foreign limited liability company which is either an organizer, a manager or member of a company is not required to obtain a certificate of authority to undertake its duties in these capacities.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 16 - WYOMING BUSINESS CORPORATION ACT","ARTICLE 15 - FOREIGN CORPORATIONS"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"c038e20d893d933c8bdc464e8a87b349029aef712cdd85fb343a873f575234ad","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-16-1440","next":"us-wy/wyo.-stat.-17-16-1502"},"notice":"GroundRules: Original legal text.
