Stat. § 17-19-1007","heading":"Amendment pursuant to judicial reorganization.","body":"(a) A corporation's articles may be amended without board approval or approval by the members or approval required pursuant to W.S. 17-19-1030 to carry out a plan of reorganization ordered or decreed by a court of competent jurisdiction under federal statute if the articles after amendment contain only provisions required or permitted by W.S. 17-19-202.\n(b) The individual or individuals designated by the court shall deliver to the secretary of state articles of amendment setting forth:\n(i) The name of the corporation;\n(ii) The text of each amendment approved by the court;\n(iii) The date of the court's order or decree approving the articles of amendment;\n(iv) The title of the reorganization proceeding in which the order or decree was entered; and\n(v) A statement that the court had jurisdiction of the proceeding under federal statute.\n(c) This section does not apply after entry of a final decree in the reorganization proceeding even though the court retains jurisdiction of the proceeding for limited purposes unrelated to consummation of the reorganization plan.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 19 - WYOMING NONPROFIT CORPORATION ACT","ARTICLE 10 - AMENDMENT OF ARTICLES OF"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"56fd3e4dce0e1336cd7585582098a3dd1c52af265db05d28c32dc94502bb86cd","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-19-1006","next":"us-wy/wyo.-stat.-17-19-1008"},"notice":"GroundRules: Original legal text.
