Stat. § 17-19-1601","heading":"Corporate records.","body":"(a) A corporation shall keep as permanent records minutes of all meetings of its members and board of directors, a record of all actions taken by the members or directors without a meeting, and a record of all actions taken by committees of the board of directors as authorized by W.S. 17-19-825(d).\n(b) A corporation shall maintain appropriate accounting records.\n(c) A corporation or its agent shall maintain a record of its members in a form that permits preparation of a list of the name and address of all members, in alphabetical order by class, showing the number of votes each member is entitled to cast.\n(d) A corporation shall maintain its records in written form or in another form capable of conversion into written form within a reasonable time.\n(e) A corporation shall keep a copy of the following records at its principal office:\n(i) Its articles or restated articles of incorporation and all amendments to them currently in effect;\n(ii) Its bylaws or restated bylaws and all amendments to them currently in effect;\n(iii) Resolutions adopted by its board of directors relating to the characteristics, qualifications, rights, limitations and obligations of members or any class or category of members;\n(iv) The minutes of all meetings of members and records of all actions approved by the members for the past three (3) years;\n(v) All written communications to members generally within the past three (3) years, including the financial statements furnished for the past three (3) years under W.S. 17-19-1620;\n(vi) A list of the names and addresses of its current directors and officers; and\n(vii) Its most recent annual report delivered to the secretary of state under W.S. 17-19-1630.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 19 - WYOMING NONPROFIT CORPORATION ACT","ARTICLE 16 - RECORDS AND REPORTS"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"e6aa59709d52f941f0e79f7e2e73ab1118c73434736eb0d1f9531db29de47113","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-19-1533","next":"us-wy/wyo.-stat.-17-19-1602"},"notice":"GroundRules: Original legal text.
