Stat. § 17-21-806","heading":"Statement of dissolution.","body":"(a) After dissolution, a partner who has not wrongfully dissociated may file a statement of dissolution stating the name of the partnership and that the partnership has dissolved and is winding up its business.\n(b) A statement of dissolution cancels a filed statement of partnership authority for the purposes of W.S. 17-21-303(d) and is a limitation on authority for the purposes of W.S. 17-21-303(e).\n(c) For purposes of W.S. 17-21-301 and 17-21-805, a person not a partner is deemed to have notice of the dissolution and the limitation on the partners' authority as a result of the statement of dissolution ninety (90) days after it is filed.\n(d) After filing and where appropriate, recording a statement of dissolution, the dissolved partnership may file and where appropriate, record a statement of partnership authority which shall operate with respect to a person not a partner as provided in W.S. 17-21-303(d) and (e) in any transaction, whether or not the transaction is appropriate for winding up the partnership business.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 21 - UNIFORM PARTNERSHIP ACT","ARTICLE 8 - WINDING UP PARTNERSHIP BUSINESS"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"ffdb2acf340412e3b1038d124281e71e7a88eb789c162451414b8e3325d59832","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-21-805","next":"us-wy/wyo.-stat.-17-21-807"},"notice":"GroundRules: Original legal text.
