Stat. § 17-29-701","heading":"Events causing dissolution.","body":"(a) A limited liability company is dissolved, and its activities must be wound up, upon the occurrence of any of the following:\n(i) An event or circumstance that the operating agreement or articles of organization states causes dissolution;\n(ii) The consent of all the members;\n(iii) The passage of ninety (90) consecutive days during which the company has no members;\n(iv) On application by a member, the entry of a court order dissolving the company on the grounds that:\n(A) The conduct of all or substantially all of the company's activities is unlawful; or\n(B) It is not reasonably practicable to carry on the company's activities in conformity with the articles of organization and the operating agreement; or\n(v) On application by a member or dissociated member, the entry of a court order dissolving the company on the grounds that the managers or those members in control of the company:\n(A) Have acted, are acting, or will act in a manner that is illegal or fraudulent; or\n(B) Have acted or are acting in a manner that is oppressive and was, is, or will be directly harmful to the applicant.\n(b) In a proceeding brought under paragraph (a)(v) of this section, the court may order a remedy other than dissolution.","path":["TITLE 17 - CORPORATIONS, PARTNERSHIPS AND ASSOCIATIONS","CHAPTER 29 - WYOMING LIMITED LIABILITY COMPANY ACT","ARTICLE 7 - DISSOLUTION AND WINDING UP"],"source_url":"https://wyoleg.gov/statutes/compress/title17.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"d6762142ca4a95f0de8aa025350cd4200844bbc247279b99bf7b39216ab5ad46","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-17-29-603","next":"us-wy/wyo.-stat.-17-29-702"},"notice":"GroundRules: Original legal text.
