Stat. § 34.1-8-201","heading":"Issuer.","body":"(a) With respect to an obligation on or a defense to a security, an \"issuer\" includes a person that:\n(i) Places or authorizes the placing of its name on a security certificate, other than as authenticating trustee, registrar, transfer agent, or the like, to evidence a share, participation, or other interest in its property or in an enterprise, or to evidence its duty to perform an obligation represented by the certificate;\n(ii) Creates a share, participation, or other interest in its property or in an enterprise, or undertakes an obligation, that is an uncertificated security;\n(iii) Directly or indirectly creates a fractional interest in its rights or property, if the fractional interest is represented by a security certificate; or\n(iv) Becomes responsible for, or in place of, another person described as an issuer in this section.\n(b) With respect to an obligation on or defense to a security, a guarantor is an issuer to the extent of its guaranty, whether or not its obligation is noted on a security certificate.\n(c) With respect to a registration of a transfer, issuer means a person on whose behalf transfer books are maintained.","path":["TITLE 34.1 - UNIFORM COMMERCIAL CODE","ARTICLE 8 - INVESTMENT SECURITIES","PART 2 ISSUE - ISSUER"],"source_url":"https://wyoleg.gov/statutes/compress/title34.1.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"9a06390418276797146c56106fce0efcfe1d8f0084a6cb6e3a6ff0129bf2a5e2","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-34.1-8-116","next":"us-wy/wyo.-stat.-34.1-8-202"},"notice":"GroundRules: Original legal text.
