Stat. § 34.1-8-208","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent.","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(i) The certificate is genuine;\n(ii) The person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n(iii) The person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(b) Unless otherwise agreed, a person signing under subsection (a) of this section does not assume responsibility for the validity of the security in other respects.","path":["TITLE 34.1 - UNIFORM COMMERCIAL CODE","ARTICLE 8 - INVESTMENT SECURITIES","PART 2 ISSUE - ISSUER"],"source_url":"https://wyoleg.gov/statutes/compress/title34.1.pdf","current_through":"2026 Budget Session; as of 2026-07-01","vintage":"","retrieved_at":"2026-09-04T00:16:32Z","sha256":"65f28695857f33bb1f62f18bf0b9cc4a5b82819945f67ab5c62962a807eb8529","source_id":"us-wy","stale":false,"prev":"us-wy/wyo.-stat.-34.1-8-207","next":"us-wy/wyo.-stat.-34.1-8-209"},"notice":"GroundRules: Original legal text.
