KRS 102.020: Articles of incorporation.

  1. KRS Chapter 102

(1) The articles of incorporation shall be as follows: "We, the undersigned business and

professional persons resident, or conducting a business, or having a branch office, in

the city of _________, county of _________, Kentucky, adopt the following articles

of incorporation:

"Article I. The objects of this corporation shall be to advance and improve civic

welfare, and to advertise and develop the industries and resources of _________,

Kentucky.

"Article II. The name of this corporation shall be ________ Chamber of Commerce.

"Article III. The affairs of this corporation shall be conducted by a board of not less

than six (6) directors, and such officers as may be established by the bylaws of the

corporation.

"Article IV. The annual dues of the members of this corporation shall be not less

than twelve dollars ($12), payable as provided in the bylaws of the corporation.

"Article V. Any resident of the city or county, or any firm or individual operating a

business or branch office therein, whose application meet s with the approval of the

board of directors, may become a member by paying the first dues, and thereafter

complying with the articles of incorporation and bylaws.

"Article VI. This corporation shall continue until terminated by operation of law.

"Article VII. The board of directors shall adopt such bylaws as they deem necessary

for the regulation of the affairs of this corporation."

(2) The articles of incorporation shall be recorded by the county clerk without fee.
