  5. SUBCHAPTER B. BOARD OF DIRECTORS

(a) The board shall elect from among the directors a presiding officer, a secretary, and any other officers the board considers necessary.

(b) The board by resolution shall establish the powers and duties of the officers, consistent with this chapter.
