In accordance with § 13.1-514 A 13 of the Act, an offer or sale of a security issued by an issuer organized under the laws of Canada or any Canadian province or territory and effected by a Canadian broker-dealer registered pursuant to 21VAC5-20-85 and its agent registered pursuant to 21VAC5-20-155 are exempted from the securities registration requirements of the Act.
