W. Va. Code § 31B-14-503: Effect of reinstatement of series limited company or revocation of voluntary dissolution.

(a) If a series limited liability company that has been administratively dissolved applies for reinstatement, §31B-8-811 and §31B-8-812 of this code apply to each protected series of the company in accordance with §31B-14-108 of this code.

(b) If, at any time after the dissolution of a series limited liability company and before the winding up of its business is completed, the members, including a dissociated member whose dissociation caused the dissolution, unanimously waive the right to have the company's business wound up and the company terminated, §31B-8-802(b) of this code applies to each protected series of the company in accordance with §31B-14-108 of this code.
